South-Com Usage Agreement
Agreement to policies, terms and conditions
By choosing to visit and use the South-Com Website you agree to
all policies, terms and conditions presented on this site. If
any of these conditions shall be deemed invalid, void, or for
any reason unenforceable, that condition shall be deemed
severable and shall not affect the validity and enforceability
of any remaining condition. Please take the time to read all our
other policies, terms and conditions on this site.
Pricing and payment
Please be advised that as this is a South African website and
that you will ultimately be charged in South African Rand based
on the ruling exchange rate at the time your order is processed.
While policy varies from country to country and bank to bank,
your bank may charge you a foreign currency conversion fee.
Agreements of sale
Placing an item in a shopping basket or adding it to a wish
list without completing the entire purchase process does not:
• Constitute an agreement of sale with South-Com and users
cannot hold South-Com liable if such items are not available
when the purchase process is completed later; and/or
• Constitute an order for such an item; and
• South-Com may remove such an item from the shopping basket or
wish list if no stock is available.
An agreement of sale between South-Com and a
user only comes into effect if and when:
• A credit card authorisation is received from the issuing bank;
or
• A deposit of an electronic transfer is reflected on
South-Com’s bank statement (and only if such payment is received
within 5 (five) business days after completion of the purchase
cycle); or
• A direct deposit is reflected on South-Com’s bank statement
and ratified by the bank (and only if such payment is received
within 5 (five) business days after completion of the purchase
cycle).
South-Com reserves the right to refuse to
accept and/or execute an order without giving any reasons.
South-Com also reserves the right to cancel orders in whole or
in part as circumstances dictate. South-Com shall only be liable
to refund monies already paid by the user.
South-Com shall take all reasonable efforts to
maintain correct prices. However, should errors occur and items
are offered at incorrect prices, South-Com will not be obliged
to sell goods at such incorrect prices and shall only be liable
to refund monies paid.
License and site access
South-Com grants you a limited license to access and make
personal use of this site and not to download (other than page
caching or where downloads are specifically offered) or modify
it, or any portion of it, except with express written consent of
South-Com. This license does not include any resale or
commercial use of this site or its contents, any collection and
use of any product listings, descriptions, or prices, any
derivative use of this site or its contents, any downloading or
copying of account information for the benefit of another
merchant, or any use of data mining, robots, or similar data
gathering and extraction tools. This site or any portion of this
site may not be reproduced, duplicated, copied, sold, resold,
visited, or otherwise exploited for any commercial purpose
without express written consent of South-Com. You may not frame
or utilize framing techniques to enclose any trademark, logo, or
other proprietary information (including images, text, page
layout, or form) of South-Com without express written consent.
You may not use any meta tags or any other "hidden text"
utilizing South-Com’s name or trademarks without the express
written consent of South-Com. Any unauthorized use terminates
the permission or license granted by South-Com.
Your membership or account
If you use this site, you are responsible for maintaining
the confidentiality of your membership or account name and
number and for restricting access to your computer, and you
agree to accept responsibility for all activities that occur
under your account or password. South-Com reserve the right to
refuse service, terminate accounts, remove or edit content, or
cancel orders in its sole discretion.
Reviews, comments, communications and other
content
Users may post reviews, comments, and other content, and
submit suggestions, ideas, comments, questions, or other
information, so long as the content is not illegal, obscene,
threatening, defamatory, invasive of privacy, infringing of
intellectual property rights, or otherwise injurious to third
parties or objectionable and does not consist of or contain
software viruses, political campaigning, commercial
solicitation, chain letters, mass mailings, or any form of
"spam." You may not use a false e-mail address, impersonate any
person or entity, or otherwise mislead as to the origin of a
card or other content. South-Com reserves the right (but not the
obligation) to remove or edit such content.
If you do post content or submit material, and
unless we indicate otherwise, you grant South-Com a
non-exclusive, royalty-free, perpetual, irrevocable, and fully
sub-licensable right to use, reproduce, modify, adapt, publish,
translate, create derivative works from, distribute, and display
such content throughout the world in any media. You grant
South-Com the right to use the name that you submit in
connection with such content, if they choose. You represent and
warrant that you own or otherwise control all of the rights to
the content that you post, that the content is accurate, that
use of the content you supply does not violate this policy and
will not cause injury to any person or entity, and that you will
indemnify South-Com or its affiliates for all claims resulting
from content you supply. South-Com has the right but not the
obligation to monitor and edit or remove any activity or
content. South-Com takes no responsibility and assumes no
liability for any content posted by you or any third party.
Electronic communications
When you visit South-Com or send e-mails to South-Com, you
consent to receiving communications from South-Com
electronically and agree that all agreements, notices,
disclosures and other communications sent by South-Com satisfy
any legal requirements, including, but not limited to, the
requirement that such communications should be "in writing".
Governing Law
By accessing this Website, you agree that the laws of the
Republic of South Africa, without regard to the conflict of laws
and principles thereof, will apply to all matters relating to
use of this Website. You also submit to the personal
jurisdiction of the Republic of South Africa .
Disputes
In the event of any dispute of any nature whatsoever arising
between South-Com and the user on any matter provided for in, or
arising out of this agreement, and not resolved through
communication with South-Com, then such dispute shall be
submitted to confidential arbitration in terms of the expedited
rules of the Arbitration Foundation of South Africa. Arbitration
proceedings shall be conducted in South Africa in English.
Domicilium
South-Com chooses as its domicilium citandi et executandi
for all purposes under this agreement, whether in respect of
court process, notice, or other documents or communication of
whatsoever nature:

Changes to this agreement and terms of use
South-Com may, at its sole discretion, change this agreement
or any part thereof at any time without notice.
